Equipment purchase agreement
Consignment sale · Dedicated Client Trust Account payment · Review draft v3, November 2, 2026
Consignor / owner: [COMPLETE] Buyer: [COMPLETE]
Machine reference / serial: [COMPLETE]
1. Parties and capacities
Consignor / equipment owner: [LEGAL NAME, ADDRESS, CONTACT AND TITLE RECORDS - COMPLETE]. Authorized selling agent: Hickel Auction Service, 620 Summit Ave E, Noonan, ND 58765. Buyer: [LEGAL NAME, BILLING AND DELIVERY ADDRESSES, PHONE AND SIGNATORY - COMPLETE]. Hickel Auction Service sells on the consignor's behalf for an agreed percentage commission under documented consignment authority and administers the included guarantee, qualifying refunds and return transport. Identify the payment account holder separately in Schedule B.
2. Equipment and seller authority
Identify the exact machine by make, model, year, serial/VIN, stock reference, delivery-hour reading, included attachments and agreed condition: [COMPLETE]. Seller’s ownership or authority to sell, title documents and lien-clearance evidence: [COMPLETE]. Attach the actual listing, photographs, dated inspection report, known faults and seller representations as Schedule A. A example listing is not sale inventory. The consignor / owner must be identified before any final agreement or invoice is issued.
3. Price, charges and invoice
Agreed equipment price: $[COMPLETE]. Delivery: $[COMPLETE]. Taxes: $[COMPLETE]. Any separately agreed marketplace, banking or transaction fee, the responsible party, and distribution of proceeds: [COMPLETE]. Total invoice (no deposit required to make an offer): $[COMPLETE]. Accepted payment type: bank wire to the verified designated account. Exact payment due date/time, time zone and required invoice/stock reference: [COMPLETE AND DISCLOSE BEFORE BINDING OFFER ACCEPTANCE]. After the completed agreement is signed, Hickel Auction Service issues the invoice as authorized selling agent under documented consignment authority. The invoice must distinguish Seller, Buyer, Operator, and the account holder/beneficiary. No payment is due under this draft.
4. Dedicated Client Trust Accounts and account authority
Payment is held in a Dedicated Client Trust Account in California under the written account arrangement. Exact legal account holder, beneficiary, bank instructions, authority to receive and hold payment, responsibilities, commission allocation and dispute procedure: [COMPLETE AND VERIFY IN SCHEDULE B]. The beneficiary may differ from the consignor and selling agent. Account naming alone does not certify independent escrow licensing, legal trust status or deposit insurance.
5. Wire verification and mandatory payment reference
For your security: Before initiating this wire at your bank, please call our main office at +1 (406) 604-3993 to verbally verify these routing and account numbers with our staff. The main office and Financial Department phone number is +1 (406) 604-3993. Use an independently confirmed office number. Confirm the bank, exact beneficiary/account title, routing and account numbers, payment amount and transaction reference. Never trust unverified email changes to routing, account or beneficiary details; confirm every change by calling the known office number. The wire memo/reference must contain the invoice number or stock number so funds can be matched to the machine; it must not be blank. Document verification with the staff member and date: [COMPLETE]. Do not fund using this draft, an unresolved placeholder or an unverified change of instructions.
6. Delivery and inspection
Delivery destination, equipment class, route mileage, dispatch conditions, carrier, insurance, delivery window and responsible arranging party: [COMPLETE]. Operator’s stated rates are $1 per mile for small equipment/tractors and $1.50 per mile for heavy equipment; confirm the class, mileage and charge. Buyer has three business days after confirmed delivery to inspect. Schedule B must state delivery evidence, start timestamp, time zone, business-day calendar and exact deadline. This inspection window is separate from the 30-day return guarantee. Before binding offer acceptance, Schedule A must allocate arranging/payment responsibilities for equipment preparation, dismantling, rigging, lifting, loading, unloading, permits, site access and any storage/collection charges: [COMPLETE].
7. Holding, acceptance and settlement
The account holder holds payment until delivery, Buyer inspection and express Buyer acceptance. It then distributes the consignor's proceeds and Hickel Auction Service's agreed percentage commission according to the consignment agreement. Buyer silence or expiry of the initial inspection period does not itself authorize release. Timely reported issues follow the signed disputed-funds process. No transfer or settlement is authorized by this unsigned draft.
8. Problems and non-response
Report faults or description mismatches through /returns/ and the notice channels in Schedule B. The initial inspection period is three business days after confirmed delivery; it is separate from the included 30-day/100-additional-hour guarantee. Silence does not authorize payment release. Record who receives reports, acknowledges them and instructs the account holder, along with escalation, evidence, deadlines and disputed-funds responsibilities: [COMPLETE]. The website does not itself place a banking hold or move funds.
9. Operator’s inspection and warranty obligations
Hickel Auction Service handles the inspection standard and warranty. Its own team of 10 specialist mechanics inspects/tests engines, hydraulics, structure/paint and other equipment systems; attach the actual machine report. The Operator offers optional paid coverage. Optional paid coverage: $1,500 for one year from sale or 1,000 additional hours (trucks: 10,000 additional miles), whichever comes first. Commencement date, covered components, exclusions, claims process, repair authorization and responsibility: [COMPLETE IN SCHEDULE C]. These protection commitments are distinct from the consignor’s title, ownership and description obligations. No conflicting “as-is” term should negate the Operator’s agreed coverage.
10. Operator’s return transport and refund obligations
Hickel Auction Service handles the 30-day full-refund guarantee for faulty or not-as-described equipment, including refund of original delivery, and pays/arranges return transport. The guarantee applies while use is no more than 100 additional operating hours after delivery. More than 100 added hours constitutes acceptance for this guarantee and ends its return eligibility; warranty rights remain subject to the separately purchased paid-coverage terms. For an eligible return, Operator owes the full refund within three business days after submission of the return report; the deadline is not postponed until the equipment is returned. Record guarantee start date, report timestamps, meter readings, banking-day definition, collection arrangements and fee treatment in Schedule C. Settlement to Seller does not extinguish Operator’s refund responsibility. This is not an unconditional change-of-mind return policy and does not waive non-waivable rights.
11. Complete schedules and legal review
Schedule A: actual Seller, equipment, ownership/title and condition documents. Schedule B: Account Holder authority, bank-verified instructions, funding, custody, settlement, fees and dispute handling. Schedule C: Operator warranty, returns and refunds. Complete title-transfer event, risk of loss during delivery/returns, insurance, governing law, venue, notices, cancellation and document precedence: [COMPLETE WITH LEGAL REVIEW]. Resolve conflicts before signature or funding. The exact bank beneficiary and receiving authority must match the signed agreement and final invoice.
12. Separate approvals and signatures
Final agreement number/date: [COMPLETE]. Consignor identity and written consignment authority: [COMPLETE]. Hickel Auction Service representative name, authority, signature and date as authorized selling agent and protection provider: [COMPLETE]. Buyer legal name, signature and date: [COMPLETE]. Named account holder's acknowledgement of holding and distribution duties, or executed Schedule B: [COMPLETE]. Buyer signs the transaction-specific Equipment Purchase Agreement before the invoice is issued. This review draft collects no signatures and requests no payment.
